Please read these Terms of Service ("Terms") carefully before using the website located at nlpatentforai.org (the "Site") operated by NL Patent AI Capital ("NL Patent AI Capital," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and NL Patent AI Capital governing your access to and use of the Site. By using the Site, you represent that you are at least eighteen years of age and have the legal capacity to enter into a binding agreement. The Site is operated by NL Patent AI Capital, a venture capital firm that invests at the seed stage in deep tech and artificial intelligence intellectual property companies. The content on this Site is provided for informational and general marketing purposes only.
Not Investment Advice. Nothing on this Site constitutes investment advice, financial advice, legal advice, tax advice, or any other professional advice. The information, analysis, and perspectives published on this Site (including in our Insights articles) reflect the views of NL Patent AI Capital's investment team and are provided for educational and informational purposes only. You should not make any investment decision based solely on information contained on this Site without consulting qualified professional advisors.
Not a Solicitation. Nothing on this Site constitutes an offer to sell, or a solicitation of an offer to buy, any security or investment product. NL Patent AI Capital offers investment opportunities only to eligible investors through formal private placement processes conducted in compliance with applicable securities laws.

3. Intellectual Property Rights
NL Patent AI Capital Content. The Site and its entire contents, features, and functionality — including but not limited to all text, articles, analyses, graphics, logos, images, button icons, software, and the compilation thereof — are owned by NL Patent AI Capital or its content suppliers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The NL Patent AI Capital name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NL Patent AI Capital.
Limited License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial informational purposes only. This license does not include: any resale or commercial use of the Site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.
Restrictions. You may not reproduce, distribute, publicly display, publicly perform, prepare derivative works from, or use the Site's content for any commercial purpose without the express written consent of NL Patent AI Capital. You may share brief excerpts of our Insights articles for non-commercial purposes, provided you attribute the content to NL Patent AI Capital and include a link to the original article on our Site.
Submission of Materials. If you submit materials to us in connection with a potential investment opportunity — including but not limited to pitch decks, business plans, technical documentation, or other information about your company — you represent that you have the right to share such materials and grant us a non-exclusive license to review, discuss, and retain such materials for the purposes of evaluating the investment opportunity. We will handle such materials in accordance with our Privacy Policy and our customary confidentiality practices for inbound materials. Please note that the submission of materials does not create any obligation on our part to evaluate your company, maintain confidentiality (unless we have executed a written confidentiality agreement with you), or provide any specific response.
4. User Conduct
By using the Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
- Attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site;

If you use the contact form on our Site to reach us, you acknowledge that submission of the form does not create an attorney-client relationship, investment advisory relationship, or any other professional relationship between you and NL Patent AI Capital. We will endeavor to respond to genuine inquiries within a reasonable time, but we are under no obligation to respond to every message received through the Site.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NL PATENT AI CAPITAL, ITS AFFILIATES, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ITS CONTENT.
IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
9. Indemnification
You agree to indemnify, defend, and hold harmless NL Patent AI Capital and its affiliates, partners, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property right, privacy right, or proprietary right; or (d) any claim that content or materials you have submitted to us caused damage to a third party.
10. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to the Site shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice-of-law provisions that would require application of another jurisdiction's laws.
Any dispute arising out of or related to these Terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you hereby consent to personal jurisdiction in those courts. Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights.
11. Severability and Waiver
If any provision of these Terms is held by a court to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
12. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and NL Patent AI Capital regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter herein.
